Terms and Conditions

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and the Terms & Conditions for access or usage of the [www.credigo.in] website and the mobile application.

The website [www.credigo.in] (“Credigo Website”) and the mobile application (“Credigo App” and together with the Credigo Website, “Platform”) thereof are owned and operated by Credigo Digital Private Limited, a company incorporated under the provisions of the Companies Act, 2013 having the corporate identification number CIN: U62099HR2023PTC116219 (hereinafter referred to as “we”, “us”, “Credigo” or “our” which expression shall mean and include its affiliates, successors-in-interest and permitted assigns). The use of the Platform by you (“User”, “you” or “your”) is subject to the terms, conditions, and notices set forth in these Terms & Conditions read together with the supplemental terms provided for each product/entity by Credigo and all applicable policies which are incorporated herein by way of reference (collectively “Terms & Conditions”).

By registering with Credigo or accessing the Platform, you represent the following:

  • (a) You are 18 (Eighteen) years of age or older;
  • (b) You are capable of entering into a legally binding agreement; and
  • (c) You are not barred or otherwise legally prohibited from accessing or using the Platform.

Please read these Terms & Conditions carefully before accessing, registering with or using the Platform. The Terms & Conditions are a binding legal contract between you and Credigo. By merely accessing the Platform, you agree and acknowledge that you have read these Terms & Conditions and have agreed to adhere to them. These Terms & Conditions shall be enforceable against you in the same manner as any other written agreement. If you do not agree to these Terms & Conditions or do not wish to be bound by these Terms & Conditions, please do not access or use the Platform and uninstall the Credigo App.

We reserve the right, at our sole discretion, to change, modify, add or remove portions of these Terms & Conditions, at any time without any prior written notice to you. It is your responsibility to review these Terms & Conditions periodically for updates/changes. We may notify you of any material updates/changes from time to time. Your continued use of the Platform following the posting of changes will mean that you accept and agree to the revisions. As long as you comply with these Terms & Conditions, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.

1. Definitions

  • 1.1.Credigo” shall mean Credigo Digital Private Limited, a private limited company having its registered office at Plot 13, Sector 18, Electronic City, Phase IV, Udyog Vihar, Gurugram – 122015, Haryana, India;
  • 1.2.Credigo App” shall mean the mobile application operated by Credigo;
  • 1.3.Credigo Website” shall mean [www.credigo.in];
  • 1.4.Person” shall include an individual, sole proprietorship, unincorporated association, unincorporated organization, a Hindu undivided family, body corporate, corporation, company, partnership firm, limited liability partnership, joint venture, association of persons, authority, trust, or any other entity or organization;
  • 1.5.Platform” shall mean the Credigo Website and the Credigo App collectively;
  • 1.6.Employee” shall mean a user employed with the Employer who intends to, and is eligible to, seek a Loan from the Lending Partners;
  • 1.7.Employer” shall mean a Person registered with the Platform which has agreed to cooperate with the Platform and Credigo to facilitate the Loans for its Employees;
  • 1.8.Lending Partners” shall mean the banks or the non-banking financial institutions registered with the Reserve Bank of India which intend to provide the Loan to the Employees;
  • 1.9.Loan(s)” shall mean the unsecured credit facility extended by the Lending Partner to the Employee on the basis of the monthly wages/salary of the Employee accrued with the Employer;
  • 1.10.Loan Documents” shall mean the loan agreement executed between the Employer and the Lending Partner and other documents executed by the Employee in relation to the Loan;
  • 1.11.Terms & Conditions” shall mean these terms and conditions read together with the supplemental terms provided for each product/entity by Credigo and all applicable policies which are incorporated herein by way of reference; and
  • 1.12.Supplemental Terms” shall include Supplemental Terms for Employees as published by Credigo.

2. Creation of Account

  • 2.1. You can access the Platform without registering for an account. However, to use several features, you will need to register and create an account with a profile that has accurate and complete information.
  • 2.2. Your profile must be your own or that of a person or entity you are entitled to represent.
  • 2.3. All registration information you submit must be truthful, complete and accurate and you agree to maintain accurate, complete, and up-to;-date account information in your account.
  • 2.4. Your account will be maintained with a username and password created by you. All terms regarding the use, reset and modification of such password shall be governed by the information on the Platform.
  • 2.5. If you, knowingly or unknowingly, allow anyone to use your account, including individuals under 18 (Eighteen) years of age, you will still be responsible for ensuring that such individuals comply with these Terms & Conditions. You will be responsible for all actions these individuals take in and/or through your account. You also acknowledge that Credigo does not have the responsibility of ensuring that you meet the aforesaid eligibility requirements.
  • 2.6. You must immediately inform Credigo regarding any unauthorized use of your username or password with full details of such unauthorized use including the date of such unauthorized use and the manner in which it was unauthorizedly used.
  • 2.7. You shall solely be responsible for keeping the username and password confidential and secure and shall solely be responsible for all actions taken on the Platform through your account.
  • 2.8. If you discover a security flaw in your account or the Platform, you shall promptly inform Credigo regarding the same.
  • 2.9. You can choose to deactivate your account with Credigo maintained on the Platform by notifying support@credigo.in or through the mechanism provided on the Platform. Please note that any cancellation/deactivation of your account shall not relieve you of any obligation under the Loan Documents, including the obligation to repay any outstanding amounts thereunder.
  • 2.10. You shall not delete or modify any content of the Platform.
  • 2.11. You shall not use or provide any information that is offensive or that violates any third party’s rights.
  • 2.12. Your use of the Credigo App shall indicate that you have provided consent to automatically receive updates such as bug fixes, patches, enhanced functions, missing plug-ins and new versions (collectively, “Updates”), for the purpose of effective delivery of the Platform and the services provided therein. Please note that your continued use of the Credigo App following such Updates would mean deemed acceptance by you of the same.
  • 2.13. You may end your legal agreement with Credigo at any time by deactivating your account and discontinuing the use of the Platform and the services provided therein, provided any ongoing services provided by Credigo shall continue until the completion of all repayment obligations under the Loan Documents.
  • 2.14. You shall request Credigo to block your account and change the passcode immediately for the account, if your device has been lost or stolen or your account is hacked.

3. Fees

  • 3.1. You are responsible for any fees that may be applicable to certain transactions or use of the Platform; where you will be notified of such applicable fees, prior to the completion of any transaction. By clicking ‘Next’ / ‘Verify’ / ‘Proceed’/ ‘Submit’/ ‘Continue’ or any other similar button on the Platform, you shall be deemed to have consented to the fees displayed on the said page.

4. Publishing of Unacceptable Content

  • 4.1. You shall not host, display, upload, modify, publish, transmit, update or share any information that:
    • (a) belongs to another person and to which you do not have any right;
    • (b) is grossly harmful, harassing, libelous, invasive of another’s privacy, hateful or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, otherwise unlawful in any manner whatsoever;
    • (c) harms minors in any way;
    • (d) infringes any patent trademark, copyright or other proprietary rights;
    • (e) violates any law for the time being in force;
    • (f) deceives or misleads the users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
    • (g) impersonates another person; or
    • (h) threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with friendly states, or public order or causes incitement to the commission of any cognizable offense or prevents the investigation of any offense or is insulting any other nation.
  • 4.2. You understand that any content you find on or through the Platform is the sole responsibility of the person who originated such content. You confirm that you are not relying on Credigo and that you understand that we do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy or reliability of any content or communications posted via the Platform or endorse any opinions expressed on the Platform. You understand that your content may be republished and if you do not have the right to submit content for such use, it may subject you to liability, and that Credigo will not be responsible or liable for any use of your content by Credigo in accordance with these Terms & Conditions.

5. Chat

  • 5.1. Please use the WhatsApp chat features of the Platform responsibly and in accordance with Paragraph 4 (Publishing of unacceptable content) above. You shall not use the Platform to send unsolicited commercial messages (spam) or unsolicited mass distribution of files. In order to enforce this provision, Credigo may establish additional policies regarding the use of chat features, including, but not limited to, maximum retention times of messages, the maximum number of messages sent per day, or a maximum size of a message.
  • 5.2. You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” “offline readers,” etc., to collect or copy data from the Platform. You further agree that you shall access the Platform only via the website through a web browser or a mobile user interface. Notwithstanding the foregoing, Credigo grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Credigo reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform for any commercial solicitation purposes.

6. Representations and Warranties of User

  • 6.1. You hereby represent and warrant that:
    • (a) you have the right, authority, and capacity to enter into these Terms & Conditions on your own behalf and on behalf of any entity for whom you are acting and to abide by all of the terms and conditions contained herein (including the Supplemental Terms), and that if any aspect of your participation violates provisions of the applicable laws to which you are subject, you will cease using the services and close your account;
    • (b) you are at least 18 (Eighteen) years old and competent to execute and perform any agreement you enter into through the Platform;
    • (c) you shall not use a false name or email address owned or controlled by another person with the intent to impersonate that person or for any other reason;
    • (d) you shall not use a username that is subject to any rights of a person other than yourself without appropriate authorization;
    • (e) you shall comply with the terms and conditions stipulated in these Terms & Conditions;
    • (f) you shall be solely responsible for maintaining the confidentiality of your password;
    • (g) all the representations made by you to us including in accordance with these terms and conditions are true, correct and complete and that you will update your registration information with Credigo as needed so that it remains true, correct and complete;
    • (h) you will conduct yourself in a professional manner in all your interactions with any other user, Credigo, their respective directors, employees, officers, representatives and agents and shall not defame, harass, intimidate, threaten, disparage, libel or otherwise make a false statement concerning any of the aforesaid persons in the course of your interactions with them or third parties;
    • (i) your usage of the Platform will not, in any manner, directly or indirectly, violate terms of any contractual arrangement binding on you; and
    • (j) you shall cooperate in good faith with other users, Credigo and its personnel, employees and officers to give effect to and honour the terms of any contract, in furtherance of the use of the Platform, entered into between you and such persons, whether or not executed through the Platform.

7. Emails, Newsletters and Notifications

  • 7.1. If you wish to subscribe to our newsletter(s) or receive notifications or emails from us, we will use your name and latest email address provided by you in this regard. However, you may choose to stop receiving our newsletters by following the instructions to unsubscribe as included in these emails or you can contact us at support@credigo.in.

8. Intellectual Property

  • 8.1. This Platform is operated by and is the sole property of Credigo. Any and all material on this Platform, including images, illustrations, audio and video clips, trade names, proprietary information and knowledge, technology, databases, or rights with respect thereto necessary for our business as is now being operated are protected by copyrights, trademarks, and other intellectual property rights that are owned by us or by other parties that have licensed such material to us or by such parties having ownership of the content uploaded on the Platform. You agree that any and all material displayed on the Platform is solely for your personal use and you shall not, whether directly or indirectly, copy, reproduce, republish, post, upload, transmit, or distribute such material in any manner and through any media including by way of email or other electronic means and you shall not assist any other person in doing so. Modification of the said materials or use of the materials on any other platform or networked computer environment or use of the materials for any purpose other than personal use is a violation of the said copyrights, trademarks, and other intellectual proprietary rights, and is expressly prohibited. Credigo grants to you a temporary, non-exclusive, revocable, non-transferable limited license to use the Platform for your own use. All right, title and interest in and to the Platform (excluding content uploaded specifically by a user) are and will remain the exclusive property of Credigo and/or its licensors.
  • 8.2. You agree that these Terms & Conditions do not entitle you to any Updates. We may, however, occasionally provide automatic Updates to the Platform at its sole discretion (and without any advanced notification to you). Any such Updates shall become part of the services and subject to these Terms & Conditions.
  • 8.3. From time to time, we test various aspects of the Platform, including our website, user interfaces, service levels, plans, promotions, features, availability of content, delivery, and pricing, and we reserve the right to include you in or exclude you from these tests without notice.
  • 8.4. By submitting any content or material to the Platform including names, logos and/or any material that is protected through trademark, copyright, wordmark, etc. of yourself or your enterprise, you hereby grant Credigo a worldwide, non-exclusive, royalty-free, perpetual, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Platform and Credigo’s business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels. In the event it does so, Credigo will seek to maintain the confidentiality of the content consistent with your account classification but cannot guarantee any such confidentiality. You grant each user of the Platform a non-exclusive license to access your content through the Platform and to use, reproduce, distribute, prepare derivative works of, display and perform such content as permitted through the functionality of the Platform and under these Terms & Conditions.
  • 8.5. Credigo shall have no obligation to monitor or enforce any intellectual property rights that may be associated with the content provided by you on the Platform.
  • 8.6. If you are a copyright owner or an agent thereof and believe that any content on the Platform infringes upon your rights, you may contact support@credigo.in and provide details requested in regard to such infringement.

9. Prohibited Uses

  • 9.1. The Platform may be used only for lawful purposes. Credigo specifically prohibits any use of the Platform, and you agree not to use the Platform, for any of the following purposes:
    • (a) Modifying, publishing, storing, transmitting, distributing, displaying, performing, participating in the transfer or sale of, creating derivative works on, or in any way exploiting, any of the copyrighted material contained on the Platform, in whole or in part, without our prior written consent.
    • (b) Subleasing, leasing, selling, assigning, transferring, distributing, renting, permitting concurrent use of, or granting other rights in the content and any material and documentation provided on the Platform by other users or Credigo to any third party.
    • (c) Providing use of the content in a computer service business, network, time sharing, interactive cable television, multiple CPU or multiple or concurrent user arrangement to users who are not individually licensed by Credigo or otherwise exploiting any portion of the use of or access to the content of the materials or documentation provided on the Platform in contravention of these Terms & Conditions.
    • (d) Defame, libel, disparage, threaten, harass or intimidate anyone or otherwise violate the personal, privacy, contractual, intellectual property or other rights of any person, including by the use of offensive comments related to race, national origin, gender, sexual preference or physical handicap.
    • (e) Submitting any content or material that falsely expresses or implies that such content or material is sponsored or endorsed by Credigo.
    • (f) Selling access to the Platform or any part thereof other than through a mechanism expressly approved by Credigo.
  • 9.2. Credigo may also place additional fair use restrictions, including restrictions on concurrent connections and time of usage.

10. Modifications

  • 10.1. We reserve the right at any time and from time to time, in our sole discretion, to modify the content on the Platform or any part thereof, including the transmission of any related materials or documentation, with or without providing prior notice to you. We further reserve the right at any time and from time to time, at our sole discretion, to alter, modify or terminate any content or features contained on the Platform without providing to you prior notice of such alteration, modification or termination. You agree that Credigo shall not be liable to you or to any third-party claiming through you, for any modification of the content or features provided on the Platform.

11. System Limitations and Failures

  • 11.1. We use internally developed systems for providing you access to and facilitating your use of the Platform. These systems may encounter technical or other limitations, and computer and communications hardware systems might experience interruptions. Further, we continually enhance and improve these systems to accommodate the level of use of the Platform. We may also add additional features and functionality to the Platform that might result in the need to develop or license additional technologies. Increased utilization of the Platform or providing new features or functionality may cause unanticipated system disruptions, slower response times, degradation in levels of customer service, and delays in reporting accurate financial information. You agree that we shall not be liable to you or to any third-party claiming through you, for any such failures contemplated herein.

12. Privacy and Confidentiality

  • 12.1. Your use of the Platform is and shall at all times be governed by our privacy policy ([www.credigo.in/privacy-policy]).
  • 12.2. Please read the privacy policy to understand our information collection and usage practices. You may obtain certain confidential information, including without limitation, technical, contractual, product, pricing, business-related functions, activities and services, customer lists, knowledge of customer needs and preferences, business strategies, marketing strategies, methods of operation, markets and other valuable information that should reasonably be understood as confidential (“Confidential Information”) and you acknowledge and agree to hold all Confidential Information in strict confidence. The title and all interests to all Confidential Information shall be vested in Credigo. Your obligations regarding Confidential Information will survive the termination of these Terms & Conditions in accordance with Paragraph 17 (Termination) below. Upon such termination, you must stop forthwith using any Confidential Information to which you may have been exposed in due course of your use of the Platform.
  • 12.3. You agree that your obligations under this Paragraph are necessary and reasonable in order to protect our business and expressly agree that monetary damages would be inadequate to compensate for any breach of any covenant or agreement set forth herein. Accordingly, you agree and acknowledge that any such violation or threatened violation will cause irreparable harm and injury to Credigo and that, in addition to any other remedies that may be available, in law, equity or otherwise, Credigo shall be entitled to obtain injunctive relief against the threatened breach of the terms of this Paragraph or the continuation of any such breach.
  • 12.4. Credigo and the Platform in order to facilitate the Loan may seek information or data including personal information, sensitive personal information, KYC documents and other documents, which shall be kept confidential by Credigo.
  • 12.5. The restrictions in this Paragraph shall not apply to the disclosure of Confidential Information by Credigo if and to the extent the disclosure is:
    • (a) required by the applicable laws of any jurisdiction;
    • (b) required by any applicable supervisory or regulatory or governmental body to which the relevant party is subject or submits, wherever situated, whether or not the requirement for disclosure has the force of law;
    • (c) required to obtain your credit information report from any credit information agency;
    • (d) made to employees, agents and representatives on a need-to-know basis, provided that such persons are required to treat such information as confidential through a written agreement in terms which are no less strict than this Paragraph; and
    • (e) made by Credigo to its shareholders, directors, managers, advisors, and/or affiliates. Provided further that Credigo may disclose the Confidential Information to third party vendors and customers or pursuant to partnering arrangements without the restriction of this Paragraph provided that such persons are required to treat such information as confidential through a written agreement in terms which are no less strict than this Paragraph.

13. Additional/ Special Terms and Conditions

  • 13.1. Credigo may notify you or request you to accept additional or special terms and conditions in relation to your access to certain features or services on the Platform. You agree that you shall access or use such features and services only in accordance with such additional or special terms and conditions as if they were incorporated herein in these Terms & Conditions.

14. Links to/ from Other Platforms and Third-Party Tools

  • 14.1. The Platform may contain link(s) to various other websites. These links are provided solely for your convenience and benefit. Wherever such link(s) lead to websites that are not owned by or belong to Credigo, we shall not be responsible for the content, products and services provided on such linked sites. We do not warrant or make any representations regarding the correctness or accuracy of the content on such websites. If you decide to access such linked websites, you do so at your own risk. We do not in any way endorse the linked websites.
  • 14.2. Similarly, this Platform can be made accessible through a link created by other websites. Access to this Platform through such link(s) shall not mean or be deemed to mean that the objectives, aims, purposes, ideas, concepts of such other websites or their aim or purpose in establishing such link(s) to this Platform are necessarily the same or similar to the idea, concept, aim or purpose of the Platform or that such links have been authorized by us. We are not responsible for any representation/s of such other websites while affording such link, and no liability can arise upon Credigo consequent to such representation, its correctness or accuracy. In the event that any link(s) afforded by any other website(s) is derogatory in nature to the objectives, aims, purposes, ideas and concepts of this Platform and is utilized to visit this Platform, and such an event is brought to the notice or is within the knowledge of Credigo, civil or criminal remedies as may be appropriate shall be invoked by Credigo.

15. Security

  • 15.1. You are prohibited from violating or attempting to violate the security of the Platform, including, without limitation:
    • (a) accessing data not intended for you or logging into an account which you are not authorized to access;
    • (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or
    • (c) interfering with service to any user, host, or network.
  • 15.2. You shall not misuse this Platform by knowingly introducing viruses, trojans, worms, logic bombs or other materials that are malicious or technologically harmful (together “Viruses”). You must not attempt to gain unauthorized access to the Platform, the server on which the Platform is stored, or any server, computer or database connected to this Platform. You must not attack this Platform via a denial-of-service attack. Further, you shall not interfere with or circumvent any security feature of the Platform or any feature that restricts or enforces limitations on use of or access to the Platform, such as probing or scanning the vulnerability of any system, network, or breach.
  • 15.3. In the event that you breach the provisions of this Paragraph, you may be liable to be prosecuted under the Information Technology Act, 2000 and any other applicable laws. We will report any such breach to the relevant law enforcement authorities, and we will cooperate with such authorities by disclosing your identity to them. In the event of such a breach, your rights to use this Platform will cease immediately.
  • 15.4. We will not be liable for any loss or damage caused by a denial-of-service attack or Viruses that may infect your computer equipment, computer programs, data or other proprietary material due to your use of this Platform or your downloading of any material posted on it, or on any Platform linked to it.
  • 15.5. You agree to immediately report to us all incidents involving suspected or actual unauthorized access, disclosure, alteration, loss, damage, or destruction of data.
  • 15.6. You shall not interfere with or disrupt (or attempt to interfere with or disrupt) access and enjoyment of the Platform of other users or any host or network, including, without limitation, creating or transmitting unwanted electronic communications such as “spam” to other users, overloading, flooding or mail-bombing the Platform, or scripting the creation of content in such a manner as to interfere with or create an undue burden on the Platform.
  • 15.7. You are prohibited from reverse engineering, decompiling, reverse assembling, modifying, or attempting to discover or copy any software, source code or structure that the Platform utilizes to generate web pages or any software or other products or processes accessible through the Platform.
  • 15.8. All actions performed by any person using your account and password shall be deemed to have been committed by you and you shall be liable for the same. Credigo reserves the right to suspend/terminate your account at any time if it is found that you have been sharing the password with any unauthorized user.
  • 15.9. In order to reduce the risk of unauthorized access, all accounts maintained with us through the Platform are locked after 5 (Five) consecutive incorrect login attempts. In the event of such lockout, you can email the administrator at [support@credigo.in], and the account shall be unlocked upon receipt of your email. You can also request a password reset on our website through the ‘forgot password’ option on the Platform.

16. Monitoring

  • 16.1. All electronic communications and content presented and/or passed to us, including that presented and/or passed from remote access connections, may be monitored, examined, saved, read, transcribed, stored, or retransmitted in the course of daily operations by any duly authorized employee or agent of Credigo in the exercise of their duties, or by law enforcement authorities who may be assisting Credigo in investigating possible contravention / non-compliance with applicable laws. Electronic communications and content may be examined by automated means. Further, Credigo has the right to reject, at its sole discretion, from the Platform any electronic communications or content deemed not to be in compliance with the corporate policies and procedures of Credigo.

17. Termination

  • 17.1. In the event that it is determined by Credigo that you have violated any of these Terms & Conditions or the terms and conditions under the Loan Documents, Credigo shall have the right, at its sole discretion, to suspend your use of and prohibit access to any or all features/parts of the Platform forthwith including your account. Any such suspension or termination of access to the Platform may be affected by Credigo without providing you with prior written notice in this regard. Upon termination of access to the Platform, these Terms & Conditions, as applicable to you, will be deemed to have been terminated and no refund of any payments made by you shall be required to be made by Credigo.
  • 17.2. You acknowledge and agree that, upon termination, you shall immediately destroy any copies made of any portion of the content contained on the Platform. You acknowledge and agree that Credigo shall not be liable to you or any third party claiming through you, for any suspension or termination of access to the Platform.
  • 17.3. These Terms & Conditions shall stand terminated once you close your account on the Platform and stop accessing the Platform.
  • 17.4. Survival: The rights and obligations of the Parties under these Terms & Conditions, which either expressly or by their nature survive the termination of these Terms & Conditions including but not limited to Paragraph 8 (Intellectual Property), Paragraph 12 (Privacy and Confidentiality), Paragraph 19 (Indemnity), Paragraph 23 (Governing Law and Dispute Resolution), and this Paragraph 17. 4 (Survival) shall survive the termination of these Terms & Conditions.
  • 17.5. Notwithstanding anything to the contrary, termination of these Terms & Conditions or restriction on access to the Platform shall not prejudice the rights and obligations of parties to the Loan Documents.
  • 17.6. Except as otherwise specifically provided herein, the termination of these Terms & Conditions for any reason whatsoever shall be without prejudice to any rights or obligations accrued to or in respect of the parties prior to the date of termination.

18. Disclaimer of Warranties and Limitation of Liability

  • 18.1. Credigo does not endorse or act on behalf of any third party. In the event you engage the services of / to interact with any third party, through the Platform, Credigo will not be liable to you for any act or omission by such third party in relation thereto.
  • 18.2. We hereby expressly disclaim all warranties and representations of any kind with respect to any and all content and features available on the Platform, including but not limited to:
    • (a) warranties as to the merchantability or use for a particular purpose, whether or not Credigo knows or has reason to know or has been advised of any such purpose; or
    • (b) warranties as to any results to be obtained from any use of the Credigo content or information derived from the use of the Platform.
  • 18.3. Credigo shall have no liability for any losses, direct or indirect, in contract, tort, or otherwise, incurred in connection with the Credigo content on the Platform.
  • 18.4. Any content or services provided through the Platform shall not be construed as investment/ financial advice or opinion provided by Credigo or any of its officers, directors, employees or representatives, whether regarding the appropriateness or suitability of any investment or credit/loan facility.
  • 18.5. The Platform, all the materials and services included on or otherwise made available to you through this Platform, are provided by Credigo on an ‘as is’ and ‘as available’ basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the foregoing, Credigo does not warrant that:
    • (a) The Platform will be constantly available, or available at all;
    • (b) The information on the Platform is complete, true, accurate or not misleading; or
    • (c) The quality of any products, services, information, or other material that you obtain through the Platform will meet your expectations.
  • 18.6. Credigo does not warrant that the functions contained in content, information and materials on the platform, including, without limitation any third-party sites or services linked to the Platform will be uninterrupted, timely or error-free, that the defects will be rectified, or that the Platform or the servers that make such content, information, and materials available are free of viruses or other harmful components.
  • 18.7. In no event shall Credigo or any of its officers, directors, employees or representatives’ total cumulative liability to you in connection with the Platform or the services provided therein for all damages, losses and causes of action (whether arising under contract or otherwise), arising from or relating to your use of the Platform or arising from these Terms & Conditions exceed INR 10,000 (Indian Rupees Ten Thousand Only).

19. Indemnity

  • 19.1. You agree to defend, indemnify and hold harmless Credigo, its affiliates, its officers, owners, directors, employees, agents, partners, co-branders, licensors, licensees, consultants, contractors and other applicable third parties (collectively “Indemnified Parties”) from and against any and all claims, demands, damages, obligations, losses, liabilities, cause of action, costs or debt, and expenses (including any legal fees) arising from:
    • (a) any third-party claims arising out of your use of the Platform;
    • (b) your violation / breach of any of these Terms & Conditions;
    • (c) for fraud committed by you or your committing of any of the prohibited activities as stated herein;
    • (d) your failure to be in compliance with applicable laws, including tax laws and cybersecurity laws; and
    • (e) your violation of any third party right, including any intellectual property right or privacy right.

20. Force Majeure

  • 20.1. Credigo shall not be responsible for delay or default in the performance of its obligations due to contingencies beyond their control, such as (including but not limited to) losses caused directly or indirectly by epidemic, pandemic, fire, flood, civil commotion, earthquake, war, strikes, failure of the systems, failure of the internet links or government / regulatory action or any other act of God.

21. Foreign Jurisdictions

  • 21.1. Credigo makes no representation that the content contained on the Platform is appropriate or to be used or accessed outside of the Republic of India. You are expressly notified that many states and foreign countries all have their own regulations that must be observed in relation to your use or access to the Platform. You must make your own assessment regarding, and are responsible for compliance with, regulatory requirements as may be applicable to your use and access to the Platform in such jurisdictions.

23. Governing Law and Dispute Resolution

  • 23.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of India and subject to the provisions of arbitration set out herein. The courts of Gurugram, India shall have exclusive jurisdiction in relation to any Dispute (defined below) arising out of or in connection with these Terms & Conditions subject to the provisions of this Paragraph.
  • 23.2. Any action, dispute or difference arising under or relating to these Terms & Conditions (“Dispute”) shall, at the first instance, be resolved through good faith amicable discussions between the parties hereto, which discussions shall begin promptly, within 15 (Fifteen) days after a party has delivered to the other party a written request for such discussions. If the parties are unable to resolve the Dispute in question within 15 (Fifteen) days of the commencement of negotiations, such Dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time and rules prescribed thereunder. When any Dispute is under arbitration, except for the matters under dispute, Credigo and you shall continue to exercise the remaining respective rights and fulfill the remaining respective obligations under these Terms & Conditions.
  • 23.3. The arbitration shall be conducted by a sole arbitrator jointly appointed by Credigo and you. If parties fail to appoint an arbitrator within 30 (Thirty) days after service of the notice of arbitration, such arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Gurugram, Haryana, India.
  • 23.4. The language of the arbitration proceedings and of all written decisions and correspondence relating to the arbitration shall be English.
  • 23.5. You agree and acknowledge that the provisions of Paragraph 8 (Intellectual Property) and Paragraph 12 (Privacy and Confidentiality) are of importance to Credigo, and monetary compensation may not constitute adequate relief and remedy to Credigo for non-performance by you of your obligations thereunder. Accordingly, Credigo shall be entitled to claim specific performance and seek mandatory and/or perpetual injunctions requiring you to perform your duties and obligations under such provisions.

24. Severability

  • 24.1. If any term, provision, covenant, or restriction of these Terms & Conditions is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the terms, provisions, covenants, and restrictions of these Terms & Conditions shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

25. No Waiver

  • 25.1. The rights and remedies available under these Terms & Conditions may be exercised as often as necessary and are cumulative and not exclusive of rights or remedies provided by law. It may be waived only in writing. Delay in exercising or non-exercise of any such right or remedy does not constitute a waiver of that right or remedy or any other right or remedy.

26. General

  • 26.1. These Terms & Conditions comprise the full and complete agreement between you and Credigo with respect to the use of the Platform and supersede and cancel all prior communications, understandings, and agreements between you and Credigo, whether written or oral, expressed or implied with respect thereto.
  • 26.2. Credigo shall be entitled, at its sole discretion, to assign its rights and obligations hereunder to any affiliate, third party or as part of any restructuring, business combination, merger or acquisition.
  • 26.3. Any notice to be given in connection with these Terms & Conditions shall be delivered via email to Credigo at support@credigo.in or to you at the email address provided by you in your profile. You consent to the use of electronic communications in order to facilitate the electronic delivery of notices in relation to any matter under these Terms & Conditions.

Supplemental Terms for Employees

  • 1. In case you are an employee of a registered Employer interested in exploring loan facilities from Lending Partners, you have to register on the Platform as an ‘Employee’ and create an account.
  • 2. Once you register by providing your personal details, Credigo may contact you before approving your Employee account on the Platform. In certain cases, Credigo may, at its discretion, require you to provide a copy of your PAN card, Aadhaar and/or other identification document before opening the account or before executing a request for a loan facility.
  • 3. You shall be eligible to use the features of the Platform available to an Employee only after your registration has been approved by Credigo for the same.
  • 4. You will be entitled to a Loan only if you meet the eligibility criteria for the Loan, which shall be displayed on the Platform.
  • 5. For receiving the disbursement of the Loan, you shall be required to execute the Loan Documents, accept the terms and conditions and undertake all other actions required, in each case, as notified to you by the Platform or Credigo.
  • 6. You acknowledge that upon execution of the Loan Documents, you have read, understood, and agreed to abide by the terms of the Loan Documents and continue to be in compliance with these Terms & Conditions.
  • 7. You hereby agree that for the facilitation of the Loan to you, you shall provide KYC documents and other personal information (including sensitive personal information) as may be required by the Lending Partner, Platform, or Credigo. You shall cooperate with the Lending Partner, Platform, or Credigo for your identity or bank account verification.
  • 8. You hereby agree that the Loan Documents may be signed through electronic or digital signatures. You hereby agree to cooperate with Credigo, the Lending Partner, and the Platform to execute the Loan Documents. You further agree that such signature will have the same legal validity and enforceability as a manually executed signature, and you hereby waive any objection to the contrary.
  • 9. You acknowledge that you shall be solely responsible for your obligations under the Loan Documents.
  • 10. You acknowledge that Credigo may be appointed by the Lending Partner to monitor your repayment obligations under the Loan Documents.
  • 11. You acknowledge that Credigo is merely the lending service provider and is not involved or responsible for the inter-se relationship between you and the Lending Partner. You further acknowledge that Credigo is merely the operator of the Platform and has no authority over or interest in the Loan facilitated by the Platform (including its terms and conditions).
  • 12. You understand that upon clicking ‘Next’ / ‘Verify’ and sharing the Aadhaar number, you (the Aadhaar holder), hereby irrevocably:
    • a. Place a request to Credigo, Third Party, and Perfios Software Solutions Private Limited (“Perfios”) to access Your Aadhaar Information from UIDAI to fetch and verify information regarding Aadhaar Number, Aadhaar XML, Virtual ID, e-Aadhaar, Masked Aadhaar, Aadhaar details, demographic information, identity information, Aadhaar registered mobile number, face authentication details and/or biometric information (collectively referred to as “Aadhaar Information”)
    • b. Explicitly authorise Credigo, and Perfios to fetch Your Aadhaar Information from UIDAI to make it available to Credigo and/or any third party, as may be required for availing advance salary or other financial wellness products, as provided by Credigo.
    • c. Agree to take all the necessary actions required for the purpose of authenticating and verifying Your Aadhaar Information.
    • d. Give a valid, binding, irrevocable and explicit authorisation and consent as may be required under applicable laws, rules, regulations and guidelines for availing the Aadhaar API services of Perfios including, but not limited to the transmission and storage of Your Masked/Hashed Aadhaar Information by Credigo, Third Party, and Perfios.
    • e. Understand and agree that the Consent has been submitted by You voluntarily and without any coercion from Credigo or Perfios or any other party.
    • f. Fully understand and accept sole and complete responsibility for any issues, legal suits, damages, losses, penalties, fines or liabilities (“Losses”) arising out of Your sharing of Aadhaar Information and authorising Credigo or Perfios or Third Party for fetching Your Aadhar Information and that You will fully hold harmless Credigo and Perfios, its representatives, employees and directors for any Losses arising out of such request and actions.
    • g. Perfios does not store or retain any Aadhaar Information including the Aadhaar number belonging to You after it has processed Your request.
